VEHICLE PARKING REGISTRATION FORM

PARKING RELEASE AND WAIVER OF LIABILITY AND INDEMNITY AGREEMENT

 

Lebanon Valley  Auto Racing (“Lebanon Valley”) is the owner/operator of the Lebanon Valley Dragway inWest Lebanon, New York (The “Premises”). The undersigned Owner/Operator  is the owner/operator (“Owner/Operator”) of a vehicle, trailer, mobile home and all other property, equipment or vehicle used or operated in conjunction therewith (collectively hereinafter the “Property”). Subject at all times to the consent and approval of Lebanon Valley to remain on the Premises and in compliance with all of its rules, regulations and directives, the Owner/Operator is hereby allowed the usage of one designated parking space as designated below at Lebanon Valley subject to the rules set forth herein and as further amended from time to by Lebanon Valley in the exercise if their sole discretion. This agreement shall commence on April 1, 2007 and terminate on November 1, 2007, if not sooner terminated pursuant to its terms.

 

1.                   Use of Property on the Premises. Use of the Property and the Premises by the Owner/Operator shall be in a proper and safe manner and only for the specific purposes, manner of use, and other SUCH CONSIDERATIONS FOR WHICH SAID  Property is rated and/or designated and for no other purpose, in compliance with all statutes, ordinances, regulations, safety programs and other rules applicable to the use thereof. The Owner/Operator shall not permit any crew member, employee and/or agent of the Owner/Operator to violate the covenants or obligations of the Owner/Operator hereunder and Owner/Operator shall be and agrees to be responsible for any and all such violations.

2.                   Security/Risk of Loss. The Owner/Operator acknowledges that Lebanon Valley does not provide security for safeguarding any Property while on the Premises, whether during the day or night and that all responsibility for safeguarding same and all risk of loss to the Property remain solely with the Owner/Operator. Owner/Operator acknowledges that the Premises are unattended a majority of the time and that, even if Lebanon Valley personnel are present, they are not present or responsible for providing security for or protecting the Property.

3.                   Indemnification/Insurance. The Owner/Operator agrees to indemnify and save Lebanon Valley from any and all claims for personal injury or property damage related to or resulting from, or which is incidental to the Property while it is on the Property. Including any claims that may involve negligence of Lebanon Valley. The Owner/Operator represents that it has and shall keep effective during the entire term of this agreement, insurance coverage insuring Lebanon Valley  with sufficient  limits against liability for such personal injury and property damage and shall name Lebanon Valley as an additional insured thereon with no less than 10 days written notice of cancellation or non-renewal. The Owner/Operator shall provide with Lebanon Valley a certificate of insurance evidencing such coverage. The Owner/Operator shall hold harmless and indemnify Lebanon Valley from and against: (i) any and all causes of action which shall arise out of or in any way relating to the Property hereunder and all claims, suits, demands, actions or proceedings in any way related to the Property, or in any way related to, or arising from any act, conduct or omission of the Owner/Operator at any time or time and (ii) all costs and expenses, including reasonable attorney’s fees, related to any claims, actions, suits, demands, proceeding or judgment incident to any of the foregoing.

4.                   Other Rules and Regulations:

A.      The usage of the designated space shall be subject at all times to the discretion of Lebanon Valley to change the designated parking area for any reason, long term or short term.

B. The Owner/Operator shall remove all property during designated events and park in the designated areas as stipulated by Lebanon Valley. Failure to remove all property during these events shall entitle Lebanon Valley to cut/break any locking devices necessary to move the Property and the Owner/Operator shall be responsible to Lebanon Valley for all costs of removing locks and moving the Property. All items within the Property shall be secured in such a manner necessary to allow such move and Lebanon Valley shall not be liable for any damage to such property as a result of the same being unsecured.  The Owner/Operator acknowledges that all Property will not be allowed left in the designated parking area during any special events or shows conducted at Lebanon Valley.

C. All vehicles, trailers, etc. shall be appropriately marked with competition numbers in the manner designed by Lebanon Valley. An issued numeric label/sticker SHALL BE placed on the right lower hand corner of the door. Failure to apply for a number and secure appropriately to the Property may result in removal.

D.Only Lebanon Valley points program members shall be eligible for said designated space. Spaces shall be applied for in accordance with the terms of this contract. No right of any such member shall be created hereby and Lebanon Valley may or may not approve a space in its sole discretion.

E.  Failure to comply with terms hereof or any other rule or regulation promulgated byLebanon Valley shall be cause for immediate termination of the Agreement and all rights hereunder without recourse to the Owner/Operator.

5.                   Miscellaneous: Lebanon Valley as used herein shall include any promoters, racing associations, sanctioning organizations, track operators, track owners, officials, personnel, sponsors, advertisers, owners and lessees of the Premises, underwriters, insurance carriers, consultants, their directors, officers agents and employees. All representative, covenants, indemnification’s and obligations of the Owner/Operator shall survive any manner of termination of this Agreement by its terms or otherwise.

 

Owner/Operator HEREBY ACKNOWLEDGES THAT THIS IS A LEGALLY BINDING WAIVER OF LIABILITY, ASSUMPTION OF RICH AND IMNEMNIFITY AGREEMENT, FULLY UNDERSTANDS ITS TERMS, UNDERSTANDS THAT HER/SHE HAS GIVEN UP SUBSTATIAL RIGHTS BY SIGNING IT, AND HAVE SIGNED IT FREELY AND VOLUNTARILY WITHOUT ANY INDUCEMENT, ASSURANCE, OR GUARANTEE BEING MADE TO ME AND INTEND MY SIGNATURE TO BE A COMPLETE AND UNCONDITIONAL RELEASE OF ALL LIABILITY TO THE GREATEST EXTENT ALLOWABLE BY LAW.
